The Firm works on the creation of structures, funds, complex transactions and reorganisations.
This includes structures for:
- Private and/or listed funds
- SPVS of pools of assets or cash
- M&A and investment structures
- Reorganisation of groups and/or balance sheets
We are familiar with both real asset and derivative structures (on and off-balance sheet) and assist with complex reorganisations. Alternative asset managers increasingly utilise complex and tax effective structures to acquire pools of capital or assets or to restructure balance sheets at institutions. We help create both private and public wrappers, applying creative and highly structured advice.
We advise clients on taxation warranties and indemnities and the effects of taxation on transactions generally.
